Description of Material Information or Facts

That on Wednesday, March 27, 2019, PT Kimia Farma (Persero) Tbk. (KF) has completed the purchase and transfer transaction as many as 476,901,860 shares in PT Phapros Tbk. (Company) which represents 56.77% of the issued and fully paid shares of the Company (Sold Shares) from PT Rajawali Nusantara Indonesia (Persero) (RNI) (Transactions).

Impact of Events

The transaction caused KF becoming the owner of 56.77% of the total issued and fully paid shares of the Company, and therefore effectively became the majority shareholder of the Company.

Although there is a transfer of Sold Shares from RNI to KF, there is no Change in ultimate Control of the Company resulted by this Transaction settlement, as referred to POJK No.9/POJK.04/2018 concerning in Takeover of Open Companies, because the Government of the Republic of Indonesia directly controls RNI and KF, and indirectly control the Company.

Other Information

RNI is a limited liability company subject to the laws of the Republic of Indonesia, domiciled in South Jakarta. The main business activities of RNI are in agriculture and plantation, industry, trade, real estate and services. The Government of the Republic of Indonesia is a 100% shareholder in RNI.

KF is a public company subject to the laws of the Republic of Indonesia, domiciled in Central Jakarta, which [90,025%] are owned by the Government of the Republic of Indonesia. KF's main business activities are running businesses in the pharmaceutical, healthcare, chemical, biological, medical devices, food and beverage industries.
