Nomination & Remuneration Committee

NOMINATION COMMITTEE

The Nomination Committee is a committee established by and responsible to the Board of Commissioners in order to help carry out the duties and functions of the Board of Commissioners.

Duties and Responsibilities of the Nomination

• Providing recommendation to the Board of Commissioners on:
  • The composition of the Board of Directors' and/or the Board of Commissioners' members.
  • Policies and criteria required in the Nominating process. and
  • Policies on performance evaluation for the BoD and/or the BoC's members.
• Assisting the Board of Commissioners to assess the performance of the BoD and/or the BoC's members based on benchmarks that have been prepared.
• Providing recommendations to the Board of Commissioners regarding the capacity building program for the BoD and/or the BoC members.
• Providing nominees who are qualified as the Board of Directors and/or the Board of Commissioners' members to the Board of Commissioners to be submitted to the ASGM.

REMUNERATION COMMITTEE

The Remuneration Committee is a committee established by and responsible to the Board of Commissioners in order to help carry out the duties and functions of the Board of Commissioners.

Duties and Responsibilities of the Remuneration Committee:

• Providing recommendation to the Board ofCommissioners on:

  • Remuneration structures.

  • Policies on remuneration.

  • The amount of remuneration.

• Assist the Board to assess the performance of conformity remuneration received by each member of the Board of Directors and / or member of the Board of Commissioners.
